Invoice Terms and Conditions

 

1. DEFINITIONS: “Seller” means Active Security and Lock Inc. d/b/a Active Security Systems, Plaza Lock and Safe. “Customer” means individuals or organizations identified on the face of the invoice. “Products” means any or all Goods and Services identified on the face of the invoice.

2. SCOPE: All sales by Seller shall be governed by the following terms and conditions. The agreement shall consist only of the terms appearing herein and in the Seller's quote or proposal and any attachments, exhibits and supplements together with any terms mutually agreed to in writing hereafter by Seller and Customer. Seller objects to and shall not otherwise be bound by any additional or different terms, whether printed or otherwise, in Customer's purchase order or in any other communication from Customer to Seller.

3. TAXES: All taxes, levies and duties of any nature whatsoever applicable to the Products supplied hereunder shall be paid by Customer unless a valid Capital Improvement, Resale, or Tax Exempt certificate is provided.

4. TRAINING AND SUPPORT: The Customer understands that it is his/her responsibility to present himself/herself for the training by the end of the installation. System support, repairs, setup and training require onsite visit. The customer will be charged extra for any additional onsite visits for the system training. We do not provide technical support over the call.

5. ACCESS: The customer will be responsible for providing dedicated working power outlets and a hardwire internet connection next to the control panel.

6. DEFECTIVE EQUIPMENT: Any defective equipment that needs to be replaced will require a change order with additional charges after the customer's approval.

7. ADDITIONAL CHARGES: Any addition to product quantity or labor will be additionally charged. Surface mounted conduit or moldings are available with an additional charge.

8. APPEARANCE: All wires will run in walls and ceilings where possible or neatly exposed. If walls have to be open or trenches need to be made patching and painting will be done by others, Seller will not be responsible for patching or painting walls.

9. CERTIFICATE OF INSURANCE: Certificate of insurance will be provided upon request.

10. LIMITED WARRANTY: Active Security and Lock Inc. warrants that the workmanship it provides hereunder will be of a professional quality conforming to generally accepted industry standards and practices. This limited warranty excludes the Manufacturer’s warranty related to the repair or replacement of the Product. The Limited Warranty also excludes remedy for damage or defect caused by abuse, modifications/repairs not executed by the Active Security and Lock Inc., improper or insufficient maintenance, improper operation, or normal wear and tear under normal usage (including Vandalized, water damage, electric glitches and stolen products). Further, we are not responsible for the systems that are no longer supported by the manufacturer. We are also not responsible for signal issues caused by existing high voltage wires.

If Customer discovers a deficiency in the workmanship, then Customer shall, within 90 days after completion of the work, submit to Seller a written notice describing the deficiency in reasonable detail, and Seller shall, at its own expense, re-install or replace (labor only) said defects within a reasonable period of time, but in no circumstance exceeding thirty (30) days from the date of the notice (this “Warranty”). The foregoing shall constitute the sole remedy of Customer and the sole liability of Seller for the repair of defective workmanship. This limited warranty will not affect the Manufacturer’s warranty of 1 year related to the repair or replacement of the Product. Labor will be charged for a warranty service call. Warranty service calls will be performed Monday through Friday from 9 am to 5 pm. Emergency service calls are not covered under warranty and charges will apply. Seller retains the title to ownership of all materials until final payment is received.

11. PAYMENT TERMS:

  • 11.1 Non-refundable deposit: Fifty percent (50%) of estimated amount is due and payable on n acceptance of the quote as non-refundable deposit. Work will not start until the 50% of the estimated amount has been paid by the Customer.

  • 11.2 Balance Payment: Payment of the balance 50% of total cost is due and payable on the day of completion. Balance will be paid onsite on the day of completion.

  • 11.3 Credit card Transaction fees: 2.5% of transaction value will be charged towards credit card payments.

  • 11.4 Restocking Fee: All returns are subject to a 30% (thirty percent) restocking fee.

  • 11.5 Late Payment: Any invoice amounts remaining unpaid beyond thirty (30) days of invoice date are subject to a late penalty charge of 1.5 % interest per month, or the maximum rate allowed by law, whichever is less.

12. EXCLUDED SERVICES: The following are not the responsibility of the Seller and will result an additional charge per hour.

  • No access to the building or to the facility.

  • No working 110 V, 15Amp electrical power outlet at the installation location that will assure stable operation of the system.

  • No functional wired internet connection at the same time of completion, or no static IP address when required.

  • Unknown equipment passwords for set up of remote software.

  • A configuration of VPN or SIP account by a third party.

  • Connection to building fire alarm relays by a third party.

  • Wiring in and through an elevator shaft. This needs to be done by the elevator company.

  • Additional adjustments to camera placements and angles add to the initial setup.

  • No designated person to perform work inspection or to receive training at the completion of installation.

  • Missing coordination of relevant contractors: e.g. Electrician, Elevator Company, etc.

  • Any additional visit due to incompatible hardware supplied by others.
